These General Terms and Conditions (“Terms”) govern (i) the use of our website (the “Website”) and (ii) all professional services, products, licenses and subscriptions provided by Hacktrick BV to its customers (the “Services”).

By accessing the Website, requesting a quotation, entering into an agreement or paying an invoice, you agree to be bound by these Terms. If you do not agree, you must refrain from using the Website or our Services.

1. Scope of Application
1.1. These Terms apply to all quotations, agreements, Services, licenses, subscriptions, invoices and Website use of Hacktrick BV.
1.2. Any terms and conditions of the customer are expressly excluded unless accepted in writing by Hacktrick BV.
1.3. In case of conflict, specific written agreements prevail over these Terms.

2. Services
2.1. Hacktrick BV provides cybersecurity and IT services, including but not limited to:
- Ethical hacking and cybersecurity audits
- Network, industrial, ERP and infrastructure security
- Cybersecurity monitoring and detection
- ICT training and awareness programs
- ICT resourcing and consulting
- Digital transformation services
- Segmentron software licenses
- Service plans and subscriptions
2.2. Services are subject to availability and may be modified or discontinued without prior notice.
2.3. Unless explicitly agreed otherwise, all obligations of Hacktrick BV are obligations of means, not obligations of result.

3. Eligibility and Representation
3.1. Website users must be at least 18 years old.
3.2. If you act on behalf of a legal entity, you represent that you are duly authorized to bind that entity.

4. Quotations and Fees
4.1. Quotations are non-binding and valid for thirty (30) calendar days, unless stated otherwise.
4.2. Fees are expressed in euros and are exclusive of VAT, costs, taxes and charges.
4.3. Services may be invoiced based on hourly rates, daily rates, fixed fees or subscriptions, as agreed.

5. Invoicing and Payment
5.1. Invoices are payable within fifteen (15) calendar days from the invoice date, unless agreed otherwise in writing.
5.2. Late payment shall automatically and without prior notice give rise to:
a. Late payment interest in accordance with the Belgian Act of 2 August 2002;
b. A fixed compensation of 10% of the outstanding amount, with a minimum of EUR 75, without prejudice to higher proven damages.

6. Protest of Invoices
6.1. Any invoice shall be deemed definitively accepted unless a written and reasoned objection is submitted within eight (8) calendar days from the invoice date.
6.2. Objections must be sent by e-mail or registered letter.
6.3. Late or unsubstantiated objections are inadmissible and do not suspend payment obligations.
6.4. The undisputed portion of an invoice remains payable at all times.

7. Use of the Website
7.1. You agree not to:
- Use the Website for unlawful purposes;
- Attempt unauthorized access to systems or data;
- Interfere with Website security or operations;
- Reverse-engineer, modify or distribute Website content without permission.
7.2. Hacktrick BV may suspend or restrict access to the Website at any time.

8. Intellectual Property
8.1. All Website content, trademarks, logos, intellectual property, software, scripts, methodologies, documentation, configurations and know-how remain the exclusive property of Hacktrick BV or its licensors. You may not reproduce, distribute, or exploit any content without written permission.
8.2. Customers receive a non-exclusive, non-transferable and non-sublicensable right of use for internal professional purposes only, unless agreed otherwise in writing.

9. Software Licenses and Service Plans
9.1. Software licenses are governed by the applicable End-User License Agreement (EULA).
9.2. Unauthorized resale, modification or distribution is strictly prohibited.
9.3. Service plans may be subscription-based and subject to renewal, suspension or termination conditions as agreed contractually.

10. Liability
10.1. To the maximum extent permitted by law, Hacktrick BV’s total liability is limited to the fees invoiced during the six (6) months preceding the event giving rise to the damage.
10.2. Hacktrick BV shall not be liable for direct, indirect or consequential damages, including loss of data, profit, revenue, reputation or business interruption resulting from the use of our Website or services.
10.3. Hacktrick BV is not liable for:
- Damages resulting from improper use, incorrect instructions, incomplete or inaccurate information provided by the customer, or the intervention;
- Unauthorized access, hacking, data breaches, cyberattacks, security breaches or incidents beyond its control;
- Misuse of Services or Website;
- Third-party actions or linked content.

11. Confidentiality and Privacy
11.1. The parties undertake to treat all confidential information obtained in the context of the cooperation as strictly confidential and not to disclose it to third parties, except where required by law or contract.
11.2. Personal data are processed in accordance with our Privacy Policy and applicable data protection laws (GDPR).

12. Third-Party Links
The Website may contain links to third-party websites. Hacktrick BV has no control over and assumes no responsibility for their content or services. If you engage with third-party services through our recommendations, you do so at your own risk.

13. Suspension and Termination
13.1. Hacktrick BV may suspend Services in case of late payment or contractual breach.
13.2. Hacktrick BV may terminate agreements immediately in case of serious breach, without prejudice to its rights.

14. Indemnification
You agree to indemnify and hold harmless Hacktrick BV, its directors, employees and partners from any claims, liabilities, expenses or damages arising from misuse of the Website or Services.

15. Force Majeure
Hacktrick BV shall not be liable for delays or failures due to force majeure, including but not limited to cyber incidents, network outages, illness, strikes, pandemics or governmental measures.

16. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain fully valid.

17. Governing Law and Jurisdiction
17.1. These Terms are governed exclusively by Belgian law.
17.2. Any dispute shall fall under the exclusive jurisdiction of the Enterprise Court of Ghent, division Kortrijk (Ondernemingsrechtbank Gent, afdeling Kortrijk).

18. Changes to the Terms
Hacktrick BV reserves the right to modify these Terms at any time. Any changes will be posted on this page, and your continued use of the Website or Services constitutes acceptance of the updated Terms.

Welkom bij Hacktrick BV (de “Vennootschap”, “wij”, “ons” of “onze”).

Deze Algemene Voorwaarden (de “Voorwaarden”) zijn van toepassing op (i) het gebruik van onze website (de “Website”) en (ii) alle professionele diensten, producten, licenties en abonnementen die door Hacktrick BV aan haar klanten worden geleverd (de “Diensten”).

Door de Website te bezoeken, een offerte aan te vragen, een overeenkomst aan te gaan of een factuur te betalen, verklaart u zich akkoord met deze Voorwaarden. Indien u hiermee niet akkoord gaat, dient u zich te onthouden van het gebruik van de Website en/of onze Diensten.

1. Toepassingsgebied
1.1. Deze Voorwaarden zijn van toepassing op alle offertes, overeenkomsten, Diensten, licenties, abonnementen, facturen en het gebruik van de Website van Hacktrick BV.
1.2. Algemene of bijzondere voorwaarden van de klant worden uitdrukkelijk uitgesloten, tenzij deze voorafgaand en schriftelijk door Hacktrick BV werden aanvaard.
1.3. In geval van tegenstrijdigheid hebben specifieke schriftelijke overeenkomsten voorrang op deze Voorwaarden.

2. Diensten
2.1. Hacktrick BV verleent cybersecurity- en IT-diensten, waaronder maar niet beperkt tot:
- Ethisch hacken en cybersecurity-audits
- Netwerk-, industriële, ERP- en infrastructuurbeveiliging
- Cybersecurity monitoring en detectie
- ICT-opleidingen en bewustmakingsprogramma’s
- ICT-resourcing en consultancy
- Digitale transformatiediensten
- Segmentron-softwarelicenties
- Serviceplannen en abonnementen
2.2. De Diensten worden geleverd onder voorbehoud van beschikbaarheid en kunnen op elk moment worden gewijzigd of stopgezet zonder voorafgaande kennisgeving.
2.3. Tenzij uitdrukkelijk anders overeengekomen, zijn alle verbintenissen van Hacktrick BV inspanningsverbintenissen en geen resultaatsverbintenissen.

3. Toelatingsvoorwaarden en Vertegenwoordiging
3.1. Gebruikers van de Website moeten minstens 18 jaar oud zijn.
3.2. Indien u handelt namens een rechtspersoon, verklaart en garandeert u daartoe rechtsgeldig bevoegd te zijn.

4. Offertes en Vergoedingen
4.1. Offertes zijn vrijblijvend en geldig gedurende dertig (30) kalenderdagen, tenzij anders vermeld.
4.2. Alle vergoedingen zijn uitgedrukt in euro en exclusief btw, kosten, belastingen en heffingen.
4.3. Diensten kunnen worden gefactureerd op basis van uurtarieven, dagtarieven, vaste prijzen of abonnementen, zoals overeengekomen.

5. Facturatie en Betaling
5.1. Facturen zijn betaalbaar binnen vijftien (15) kalenderdagen na factuurdatum, tenzij schriftelijk anders overeengekomen.
5.2. Bij laattijdige betaling is van rechtswege en zonder voorafgaande ingebrekestelling verschuldigd:
a. Een nalatigheidsinterest overeenkomstig de Wet van 2 augustus 2002 betreffende de bestrijding van betalingsachterstand bij handelstransacties;
b. Een forfaitaire schadevergoeding van 10% van het openstaande bedrag, met een minimum van EUR 75, onverminderd het recht op vergoeding van hogere bewezen schade.

6. Betwisting van Facturen
6.1. Elke factuur wordt geacht definitief aanvaard te zijn bij gebrek aan een schriftelijk en gemotiveerde betwisting binnen acht (8) kalenderdagen na factuurdatum.
6.2. Betwistingen dienen te worden verstuurd per e-mail of per aangetekende brief.
6.3. Laattijdige of onvoldoende gemotiveerde betwistingen zijn onontvankelijk en schorsen de betalingsverplichting niet.
6.4. Het niet-betwiste gedeelte van een factuur blijft te allen tijde verschuldigd.

7. Gebruik van de Website
7.1. U verbindt zich ertoe de Website niet te gebruiken om:
- Onwettige doeleinden na te streven;
- Ongeoorloofde toegang tot systemen of gegevens te verkrijgen;
- De veiligheid of werking van de Website te verstoren;
- Inhoud van de Website te reverse-engineeren, te wijzigen of te verspreiden zonder toestemming.
7.2. Hacktrick BV behoudt zich het recht om de toegang tot de Website op elk moment te beperken of op te schorten.

8. Intellectuele Eigendom
8.1. Alle inhoud van de Website, merken, logo’s, intellectuele eigendomsrechten, software, scripts, methodologieën, documentatie, configuraties en knowhow blijven de exclusieve eigendom van Hacktrick BV of haar licentiegevers. Zonder voorafgaande schriftelijke toestemming mag niets worden gereproduceerd, verspreid of geëxploiteerd.
8.2. Klanten verkrijgen uitsluitend een niet-exclusief, niet-overdraagbaar en niet-sublicentieerbaar gebruiksrecht voor interne professionele doeleinden, tenzij schriftelijk anders overeengekomen.

9. Softwarelicenties en Serviceplannen
9.1. Softwarelicenties worden beheerst door de toepasselijke End User License Agreement (EULA).
9.2. Ongeoorloofde wederverkoop, wijziging of verspreiding is strikt verboden.
9.3. Serviceplannen kunnen abonnementsgebonden zijn en onderhevig aan verlengings-, opschortings- of beëindigingsvoorwaarden zoals contractueel overeengekomen.

10. Aansprakelijkheid
10.1. Voor zover wettelijk toegestaan, is de totale aansprakelijkheid van Hacktrick BV beperkt tot de vergoedingen die werden gefactureerd in de zes (6) maanden voorafgaand aan het schadeverwekkend feit.
10.2. Hacktrick BV is niet aansprakelijk voor directe, indirecte of gevolgschade, waaronder verlies van gegevens, winst, omzet, reputatie of bedrijfsonderbreking voortvloeiend uit het gebruik van de Website of de Diensten.
10.3. Hacktrick BV is niet aansprakelijk voor schade als gevolg van:
- Onjuist of oneigenlijk gebruik, foutieve instructies of onvolledige of onjuiste informatie verstrekt door de klant;
- Ongeoorloofde toegang, hacking, datalekken, cyberaanvallen of andere beveiligingsincidenten buiten haar controle;
- Misbruik van de Website of Diensten;
- Handelingen van derden of gelinkte inhoud.

11. Vertrouwelijkheid en Privacy
11.1. Partijen verbinden zich ertoe alle vertrouwelijke informatie verkregen in het kader van de samenwerking strikt vertrouwelijk te behandelen en niet aan derden bekend te maken, behoudens wettelijke of contractuele verplichtingen.
11.2. Persoonsgegevens worden verwerkt overeenkomstig het Privacybeleid van Hacktrick BV en de toepasselijke gegevensbeschermingswetgeving (AVG/GDPR).

12. Links naar Derden
De Website kan links bevatten naar websites van derden. Hacktrick BV heeft geen controle over en aanvaardt geen enkele verantwoordelijkheid voor de inhoud of diensten van deze derden. Het gebruik ervan gebeurt volledig op eigen risico.

13. Opschorting en Beëindiging
13.1. Hacktrick BV kan de Diensten opschorten bij laattijdige betaling of contractuele wanprestatie.
13.2. Hacktrick BV kan overeenkomsten met onmiddellijke ingang beëindigen in geval van een ernstige inbreuk, onverminderd haar overige rechten.

14. Vrijwaring
U verbindt zich ertoe Hacktrick BV, haar bestuurders, werknemers en partners te vrijwaren en schadeloos te stellen voor alle vorderingen, aansprakelijkheden, kosten en schade voortvloeiend uit oneigenlijk gebruik van de Website of de Diensten.

15. Overmacht
Hacktrick BV is niet aansprakelijk voor vertragingen of tekortkomingen veroorzaakt door overmacht, waaronder maar niet beperkt tot cyberincidenten, netwerkstoringen, ziekte, stakingen, pandemieën of overheidsmaatregelen.

16. Nietigheid
Indien een bepaling van deze Voorwaarden geheel of gedeeltelijk nietig of onafdwingbaar wordt verklaard, blijven de overige bepalingen onverkort van kracht.

17. Toepasselijk Recht en Bevoegde Rechtbank
17.1. Deze Voorwaarden worden uitsluitend beheerst door het Belgisch recht.
17.2. Elk geschil behoort tot de exclusieve bevoegdheid van de Ondernemingsrechtbank Gent, afdeling Kortrijk.

18. Wijzigingen van de Voorwaarden
Hacktrick BV behoudt zich het recht om deze Voorwaarden op elk moment te wijzigen. Gewijzigde voorwaarden worden op deze pagina gepubliceerd. Het verder gebruik van de Website of Diensten geldt als aanvaarding van de gewijzigde Voorwaarden.
